What is a SPA and what is this contract for?

A Sales and Purchase Agreement (SPA) is a legally binding agreement (contract) between two parties that commits the buyer and seller to a transaction. In the real estate context, this document defines the terms and conditions of the property purchase, including the description of the property, payment terms, developer’s (or seller’s) obligations, warranties, penalties for non-performance, and more. It becomes binding as soon as it is signed by the parties and registered with the Cyprus Land Registry.

Basic structure of the agreement

It is possible that contracts can and will vary in style and scope depending on the case and the developer, but in most cases the SPA includes the following sections:

  • description of the object: precise indication of location, area, cadastral number, as well as annexes (drawings, site plans);
  • payment terms: amounts, terms, payment methods (often in stages – upon completion of certain construction phases);
  • technical specifications: finishing materials, engineering systems, applicable construction standards;
  • delivery terms: seller’s obligations upon completion of construction;
  • warranties and liability: warranty period for construction defects, liability for delays;
  • terms of termination: grounds and consequences of annulment of the transaction;
  • transfer of title: process and moment of transfer of title.

Technical aspects: specifications, materials and terms

One of the key components of a SPA that requires special attention is the technical specifications section. Often this section contains general language such as “quality materials”, “in accordance with European standards”, “premium finishes”, but does not specify exact brands, models or specifications.

Without specifics, the buyer risks getting an object that does not meet his expectations. That’s why it is important to ask the developer to:

  • A clear list of finishing materials (tiles, windows, doors, sanitary ware, kitchen sets);
  • Specification of engineering systems: air conditioning, heating, solar panels, boilers;
  • Specifics on fire and insulation standards, especially in multi-story complexes;
  • Information on materials of supporting structures: concrete, reinforcement, waterproofing, thermal insulation.

The Cyprus Building Code (CBC) is a set of building regulations in Cyprus that sets out technical standards for construction, including regulations on safety, fire resistance, Energy Performance Certificate (EPC) and structural stability. It is the regulatory framework to which every developer, as well as buyers and investors in Cyprus, must refer.

The compliance of the real estate object with the established standards and regulations should be confirmed not only by the provisions of the contract, but also by the results of actual on-site inspections. Technical expertise includes:

  • Snagging List – a detailed list of deficiencies and construction defects, prepared after the completion of major works. The property should not be accepted by the buyer until all identified defects have been corrected.
  • Inspection Property – An independent inspection of the property for compliance with the contract and technical standards, including the Cyprus Building Code (CBC).
